Formal Complaint Letter

Dear Mr. Silverio,
I am writing to formally lodge a complaint regarding recent actions taken by an employee of Sangoma Technologies Corporation, Chris Maj. The employee in question has been silencing community members, including investors, through what appear to be unilateral bans on the company’s community platforms. Additionally, the same individual seems to be engaging in behavior that could be considered retaliatory or defensive, including updating the community's code of conduct retroactively to justify these actions.
These actions raise significant concerns regarding Sangoma’s compliance with its Code of Business Conduct and Ethics (adopted on November 8, 2021), and may have broader implications under Canadian and U.S. trade laws:
- Compliance with Laws: Silencing discussions that include valid, fact-based discourse from investors could violate free speech protections and securities laws in both Canada and the U.S. This behavior may constitute an inappropriate restriction on the rights of shareholders and stakeholders.
- Conflicts of Interest: There is a potential conflict of interest if the employee’s actions are protecting personal or organizational decisions in ways that compromise Sangoma’s objective and transparent operations.
- Fair Dealing: As per Sangoma’s Code, all personnel are expected to “respect the rights of and deal fairly with” community members. Retaliatory bans and policy revisions contradict these standards.
- Confidentiality and Transparency: The suppression of legitimate discussions among investors and contributors erodes confidence in Sangoma's commitment to transparency and accountability.
Request for Action
I urge Sangoma to take immediate steps to investigate the following:
- The circumstances surrounding these bans, including whether they were encouraged, directed, or condoned by management.
- The potential breach of the Sangoma Code of Business Conduct and Ethics, particularly with respect to conflicts of interest, fair dealing, and compliance with laws.
- Whether the employee’s actions expose Sangoma to legal liabilities under Canadian or U.S. trade laws regarding fair and open shareholder communications.
Additionally, I recommend:
- Temporarily suspending the employee’s authority to ban users until an independent review can be conducted.
- Restoring access for affected individuals, unless there is documented justification for their exclusion consistent with company policy.
I trust that Sangoma will handle this matter with the urgency and integrity it requires. Please confirm receipt of this complaint and advise on the next steps in addressing these concerns.
